Nomination Committee for the 2026 Annual General Meeting

The Nomination Committee has been constituted in accordance with the Nomination Committee’s instructions and has the following composition ahead of the 2026 Annual General Meeting:

General information about the Nomination Committee

Provisions on the establishment of a nomination committee are found in the Swedish Corporate Governance Code. According to the Swedish Corporate Governance Code, all companies whose shares are listed on a regulated market in Sweden must have a nomination committee whose task is to prepare the general meeting’s decisions on election and remuneration matters and, where applicable, procedural matters for the following nomination committee.

The main task of the nomination committee is to propose a chair for the general meeting, candidates for board members (including the chair of the board), fees and other remuneration to board members and for committee work, as well as the election of and remuneration to external auditors. When proposing board members, the nomination committee must assess whether the proposed members are considered independent in relation to the company, the executive management, and the company’s major shareholders.
